Terms of Service

1. The service

3PL Connect (operated by Vortex Ventures) is a marketplace that matches shippers with third-party logistics providers. We provide discovery, matching, messaging, and quote-request tools. We are not a party to any logistics agreement formed between shippers and providers: contracts, pricing, and service levels are between you and the counterparty.

We do not act as a broker and do not take a commission from providers on deals formed through the platform.

2. Accounts and eligibility

You must provide accurate information when creating an account and keep it current. Business accounts must be created by someone authorized to act for that business. You are responsible for activity under your account and for keeping your credentials secure. Provider accounts may be subject to verification before listing publicly.

3. Marketplace conduct

You agree not to:

• Misrepresent your business, capabilities, certifications, capacity, or performance.
• Use the platform to harvest contact data or spam other members.
• Attempt to manipulate matching, rankings, or reviews.
• Upload unlawful content or interfere with the operation or security of the service.

4. Subscriptions and billing

Paid plans are billed in advance on a recurring basis through our payment processor. You can cancel at any time from billing settings; cancellation takes effect at the end of the current billing period. Fees already paid are non-refundable except where required by law. Plan features and pricing are described on the pricing page at the time of purchase.

5. Your content and data rights

You retain ownership of the content you submit: profiles, listings, messages, and documents. You grant us the license needed to host, display, and deliver that content to the parties you direct it to.

Your privacy rights, including data export and account deletion (with messaging redaction), are described in the Privacy Policy and are exercisable from your account settings.

6. AI features

Eleanor and other AI features generate suggestions: match explanations, drafted quote requests, summaries. They can be wrong. AI output is informational and is not legal, financial, or logistics advice; verify material details (certifications, capacity, pricing) directly with the counterparty before contracting.

7. Disclaimers and limitation of liability

The service is provided “as is.” We vet providers in good faith but do not guarantee the performance, compliance, or solvency of any marketplace participant. To the maximum extent permitted by law, our aggregate liability for claims arising out of the service is limited to the amounts you paid us in the twelve months preceding the claim.

8. Suspension and termination

We may suspend or terminate accounts that violate these terms, harm other members, or create legal risk. You may close your account at any time from settings; Section 5 of the Privacy Policy describes what happens to your data when you do.

9. Changes and contact

We may update these terms as the product evolves; material changes will be announced in-product or by email before they take effect. Continued use after the effective date constitutes acceptance.
